1. About these Terms
These Terms of Service (“Terms”) govern your use of the Website, the Claris Companion, Claris for Caregivers and Claris Console applications (the “Software”), Certified Devices and related services (together, the “Services”) provided by Claris Healthcare Inc. (“Claris”, “we”, “us”). By using the Services, you agree to these Terms and acknowledge our Privacy Policy.
- Part A applies when you use the Services through an organization that has a signed agreement with Claris.
- Part B applies when you subscribe to the Services yourself.
- Sections 1 to 18 apply in both cases.
If you accept these Terms for an organization, you confirm that you have authority to bind it.
Key terms
- Customer means an organization, such as a medical practice, home care agency or other provider, that has a signed agreement with Claris (a “Customer Agreement”).
- End User means an individual who receives services through the Software, such as a patient, client or family member being supported.
- Licensed User means a clinician, employee, contractor or agent a Customer authorizes to use the Software.
- Account Holder means an individual who subscribes to the Services directly.
- Caregiver means a family member, friend or other person an Account Holder or End User invites to the Software.
- User means any Licensed User, Account Holder or Caregiver.
- Certified Devices means the tablets, sensors and health monitoring devices supplied by Claris.
- Cellular Data Services means the cellular connectivity Claris arranges through third-party carriers for Certified Devices.
- Service Providers means the licensed or certified personnel Claris employs or contracts to deliver monitoring and care management services.
- Website means clarishealthcare.com.
2. Order of precedence
If your organization has signed a Master Services Agreement, Clinical Services Agreement, Remote Supports Services Agreement or other Customer Agreement with Claris, that Customer Agreement governs the relationship between Claris and the Customer. If these Terms conflict with a Customer Agreement, the Customer Agreement controls. Any Business Associate Agreement controls as to protected health information. Nothing in these Terms amends or replaces a Customer Agreement.
3. Not an emergency service
The Services are not an emergency service and must not be relied on for urgent medical needs. In an emergency, call 911 or your local emergency number.
- Who monitors, and when. Claris monitors only when a Customer has engaged Claris monitoring services, and only during the service hours set in the Customer Agreement. During those hours, our Service Providers review device readings and alerts and escalate them under the Customer’s protocols. Claris does not provide monitoring services to Individual Subscribers. At all other times, the Customer, the Account Holder or the people they designate are responsible for responding.
- Connectivity limits. Readings, messages and alerts, including alerts from sensors, depend on device power, cellular and internet networks, and the Software working correctly. They can be delayed, incomplete or not delivered.
4. Not medical advice
Claris does not practice medicine or give medical advice. Content in the Software, device readings and AI output are information to support, not replace, the relationship between an End User and their healthcare provider. Where Claris Service Providers deliver care management services, they act under the direction and supervision of the End User’s provider, who remains responsible for all clinical decisions.
5. Certified Devices and connectivity
Certified Devices carry the manufacturer’s warranty. Customers receive Claris’s device warranty and support policies during implementation; Individual Subscribers should see Part B, Section B6. Cellular Data Services depend on third-party carrier networks, and we do not guarantee coverage or availability at any location. A device without active Cellular Data Services does not transmit readings.
6. Accounts and security
You must be 18 or older to create an account. Give accurate information, keep your credentials confidential and do not share your account. Tell us immediately, using the support contact in Section 18, if you suspect unauthorized use of your account.
7. Acceptable use
You agree not to:
- copy, modify, reverse engineer or decompile the Software, or attempt to discover its source code;
- resell, rent, sublicense or make the Software available to anyone not authorized to use it, except as a Customer Agreement permits;
- bypass or test security measures, or introduce malicious code;
- access the Services with automated tools other than those we provide;
- upload content that is unlawful, infringing, false or misleading, or that violates anyone’s privacy;
- impersonate any person, or send spam or unsolicited messages;
- use the Software to build a competing product; or
- use the Services in violation of any law.
We may suspend access, or remove content that violates these Terms or puts End Users or the Services at risk.
8. Your content
You, or the Customer through which you use the Services, own the content entered into the Software (“Your Content”). You grant Claris a limited license to host, use, copy and transmit Your Content only as needed to provide and support the Services, including AI features you choose to use, and to create de-identified and aggregated data. This license ends when Your Content is deleted under our Privacy Policy, except for de-identified and aggregated data. You confirm that you have the rights and consents needed to add Your Content, including information about other people.
9. AI features
Some Services include AI features. AI output may be inaccurate or incomplete, is not medical advice, and must be reviewed by a person before it is relied on. Our handling of information sent to AI features is described in our Privacy Policy.
10. Text Messaging Program
Claris offers text messaging as part of the Services (the “Messaging Program”). It carries two-way messages between End Users, their care team and Caregivers, and service reminders and notifications, such as check-in and reading reminders.
- Enrollment and consent. You are enrolled when you, your Caregiver or your provider gives us your mobile number and you agree to receive text messages. Consent is not a condition of any purchase or of receiving care.
- Message frequency. Frequency varies with your care activity. Recurring messages may be sent.
- Message and data rates may apply. Contact your wireless carrier for plan details.
- Opt out and help. Reply STOP to any message to cancel. We will send one confirmation and no further messages. Reply HELP, email support@clarishealthcare.com (Individual Subscribers: support@clariscompanion.com) or call 1-866-284-4939 for help.
- Carriers are not liable for delayed or undelivered messages.
- Privacy. Mobile information is not shared with third parties or affiliates for marketing. See our Privacy Policy.
11. Our intellectual property
Claris and its licensors own the Software, Website, documentation and all related intellectual property. The Software is licensed, not sold. Claris Companion®, Claris Continuum® and CareDot® are registered trademarks of Claris Healthcare Inc. Copyright complaints are handled under our Copyright Policy.
12. Disclaimers
Except as expressly stated in these Terms or a Customer Agreement, the Services are provided “as is” and “as available”. To the extent the law allows, Claris disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
13. Limitation of liability
To the extent the law allows, Claris is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Claris’s total liability arising from the Services or these Terms will not exceed the fees you paid Claris in the 12 months before the event giving rise to the claim, or US$100 if you paid nothing. Nothing in these Terms limits liability that cannot be limited by law. If you use the Services through a Customer, the Customer Agreement governs Claris’s liability to the Customer.
14. Changes to these Terms
We will post changes on this page and update the date above. For material changes, we will email Account Holders and Customers at least 30 days before the change takes effect. If you do not agree, stop using the Services before that date; Account Holders may cancel under Part B.
15. Governing law and disputes
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, and disputes go to the courts of British Columbia. If you are a consumer, you keep any protections the laws of your place of residence give you that cannot be waived by contract.
16. General terms
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including carrier network, utility or internet outages.
- Assignment. You may not transfer these Terms without our consent. We may assign them to an affiliate or a successor to our business.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver.
- Survival. Provisions that by their nature should survive termination do so, including ownership, disclaimers, limitation of liability and governing law.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Claris about your individual use of the Services, subject to Section 2.
17. Mobile app stores
If you download Claris for Caregivers or Claris Companion from an app store, these Terms are between you and Claris, not the app store operator. If you download an app from the Apple App Store:
- Claris, not Apple, is solely responsible for the app and its content.
- Your license is limited to using the app on Apple-branded products you own or control, as the App Store Usage Rules permit.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the extent the law allows, Apple has no other warranty obligation for the app.
- Claris, not Apple, is responsible for any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
- Claris, not Apple, is responsible for investigating and resolving any claim that the app infringes a third party’s intellectual property rights.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms, such as your wireless data service agreement, when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

- Organizational Customers, End Users and Licensed Users: support@clarishealthcare.com
- Individual Subscribers: support@clariscompanion.com
Part A: Organizational Customers
This Part applies when you use the Services through a Customer, as a Licensed User or as an End User. The Customer Agreement sets the commercial terms; this Part sets the rules for individual users.
A1. Licensed Users
- You use the Software on behalf of the Customer that authorized you, and only for the Customer’s work.
- Your access is managed by the Customer and ends when the Customer removes it or the Customer Agreement ends.
- You must follow the Customer’s policies and the law when you access End User information, including health privacy laws where they apply.
- Do not share your credentials with anyone, including other Licensed Users or End Users.
A2. End Users
- Your provider or agency (the Customer) chose Claris to support your care or services. Questions about your care, your care plan or your services should go to your provider.
- Any charges for your care, including insurance billing and cost-sharing, are between you and your provider. Claris does not bill End Users who receive Services through a Customer.
- Certified Devices you receive are provided by your provider. Ask your provider whether to keep or return a device when your services end.
- You can stop receiving text messages at any time by replying STOP, and you can ask your provider to end your enrollment.
A3. Monitoring hours
Where your provider has engaged Claris monitoring or care management services, Claris Service Providers work only during the service hours your provider has arranged. Outside those hours, contact your provider using its after-hours instructions, or call 911 in an emergency.
A4. Customer responsibilities
The Customer is responsible for its Licensed Users’ use of the Services, for obtaining End User consents, and for responding to alerts and requests for help, including after-hours and emergency response, as the Customer Agreement provides.
Part B: Individual Subscribers
This Part applies when you subscribe to the Services directly as an Account Holder, and to the Caregivers and End Users on your account.
B1. Eligibility
Account Holders must be 18 or older and able to enter into a binding contract.
B2. Setting up the Services for someone else
If you set up the Services for an End User, you confirm that you have their consent or the legal authority to act for them. You are responsible for the content added to the account and for choosing which Caregivers can access it.
B3. Caregivers
You or the End User can invite Caregivers. Caregivers can view, download and share the End User’s information and add their own content, according to the permissions you set. You can remove a Caregiver’s access at any time in the Software. Caregivers do not pay for access to an account they are invited to.
B4. Subscription and automatic renewal
Your subscription renews automatically each month until you cancel. The monthly price, taxes and any Cellular Data Services charges are shown before you subscribe. By subscribing, you authorize our payment processor to charge your payment method in advance each month on your billing date. Fees are in US dollars unless shown otherwise.
If we offer a free trial, its length is shown when you sign up, and you can cancel before it ends without paying.
We will email you at least 30 days before any price change takes effect.
B5. Cancelling
You can cancel at any time by emailing support@clariscompanion.com, calling 1-866-284-4939, or setting the Member Status to Discontinued in the Claris Console. Cancellation takes effect at the end of your current billing period, and you will not be charged again. Monthly fees already paid are not refunded, except where the law requires.
B6. Devices
Certified Devices are sold outright and are not leased or rented. Title passes to you when you have paid in full. Devices carry the manufacturer’s warranty and are supported under Claris’s device policies. Shipping and returns are governed by our Shipping Policy and Return & Refund Policy.
B7. Late or failed payment
If a payment fails, we will notify you and retry. If it is still unpaid after 30 days, we may suspend the account. While suspended, you can view your content, and ask support@clariscompanion.com to export it, for 90 days, after which we may close the account and delete its content under our Privacy Policy.
B8. Ending the Services
We may suspend or close an account that violates these Terms. We may also stop offering the Services to Individual Subscribers with at least 30 days’ notice; if we do, we will refund any prepaid fees for the period after the Services end. Before an account is closed, you can ask support@clariscompanion.com to export your content.
B9. Consumer rights
Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived by contract.
